1. About us and these terms
This website is operated by Elite Bio Research Ltd (“Elite Bio Labs”, “we”, “us” or “our”), a company registered in England and Wales (company number 17306852), with its registered office at 66 Paul Street, London, England, EC2A 4NA. You can contact us at info@elitebiolabs.co.uk.
These Terms & Conditions (“Terms”) govern your access to and use of elitebiolabs.co.uk (the “Site”) and the purchase of any products from us. By accessing the Site, ticking the entry confirmation, or placing an order, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree, you must not use the Site or purchase from us.
2. Research use only – nature of our products
All products supplied by Elite Bio Labs are sold strictly as chemical reference materials for laboratory and in-vitro research and development use only.
- Our products are not medicinal products and are not licensed, approved or authorised by the Medicines and Healthcare products Regulatory Agency (MHRA) or any other regulatory body for use in or on humans or animals.
- They are not intended or supplied for human or animal consumption, ingestion, injection, inhalation or application, and are not foods, food supplements, cosmetics, household products or veterinary products.
- We make no medical, therapeutic, diagnostic, performance or other health claims of any kind in relation to any product, and nothing on the Site should be interpreted as such.
- Any published research, literature references or certificates of analysis are provided for scientific reference only and do not constitute a representation that any product is safe or effective for any purpose.
3. Eligibility
By using the Site and placing an order you confirm that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding contract; (c) you are a qualified researcher, professional, academic institution or other appropriately competent person acquiring the products for legitimate research purposes; and (d) your use of the products is lawful in your jurisdiction.
4. Acceptable use and your responsibilities
As a condition of purchase you agree that you will:
- use the products solely for lawful laboratory research and not administer, ingest or apply them to any human or animal, or supply them to any person for such use;
- not resell, distribute or re-label the products for human consumption or any use prohibited by these Terms;
- handle, store, transport and dispose of the products safely and in accordance with all applicable laws, regulations and good laboratory practice, including the Control of Substances Hazardous to Health (COSHH) Regulations;
- hold any licences, permissions or qualifications required for your intended research; and
- accept that you alone are responsible for determining the suitability of any product for your intended research and for any consequences of its use.
5. Product information, descriptions and availability
We take reasonable care to ensure that product descriptions, specifications and purity information are accurate at the time of publication. Minor variations may occur, and images are illustrative. Products are subject to availability and we may withdraw or vary any product at any time.
6. Orders and formation of contract
Your order constitutes an offer to purchase. All orders are subject to acceptance by us, and a contract is only formed when we confirm dispatch of the products. We reserve the right to refuse, limit or cancel any order at our discretion, including where we reasonably believe the products may be intended for an unlawful or prohibited use.
7. Prices and payment
Prices are shown in pounds sterling (GBP) and may be exclusive or inclusive of VAT as indicated at checkout. We may change prices at any time, but changes will not affect orders we have already accepted. Payment must be made in full at the time of ordering by the methods shown at checkout.
8. Delivery
We deliver within the United Kingdom. Estimated dispatch and delivery times are indicative only. Risk in the products passes to you on delivery. You should inspect products on receipt and notify us promptly of any damage, defect or shortage.
9. Cancellations, returns and refunds
Due to the nature of the products and to protect their integrity and safety, products that have been dispatched cannot generally be returned or refunded once the seal is broken, except where they are faulty, damaged in transit or not as described. This does not affect any statutory rights you may have. Where you have a right to cancel, please contact us at sales@elitebiolabs.co.uk before returning any item.
10. Disclaimers and warranties
The products are supplied “as is” for research purposes. To the fullest extent permitted by law, we exclude all warranties, conditions and representations (whether express or implied) other than those expressly set out in these Terms or that cannot lawfully be excluded. We do not warrant that any product is fit for any particular purpose beyond its stated specification.
11. Limitation of liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be excluded. Subject to that, we shall not be liable for any loss or damage arising from: (a) any use of the products contrary to these Terms; or (b) any indirect or consequential loss. Our total liability in connection with any order shall not exceed the price paid for that order.
12. Indemnity
You agree to indemnify us against all losses, claims, damages and expenses arising out of your breach of these Terms or your misuse of any product, including any use of a product in or on a human or animal.
13. Intellectual property
All content on the Site, including text, graphics, logos and branding, is owned by or licensed to Elite Bio Labs and is protected by intellectual property laws. You may not reproduce it without our written permission.
14. Privacy
Our use of your personal data is governed by our Privacy Policy.
15. Changes to these terms
We may update these Terms from time to time. The version in force is the one published on the Site at the time you place your order.
16. Governing law and jurisdiction
These Terms and any dispute arising from them are governed by the laws of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales.
